1. Agreement to Terms

By accessing or using ICON Speed (“Service”), operated by Momensity LLC. (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

ICON Speed is an AI-powered business intelligence platform that provides automated monitoring, analysis, and insights for business operations. The Service includes:

  • AI-powered business analysis and recommendations
  • Data integration with third-party platforms
  • Automated alerts and notifications
  • Voice and chat interfaces
  • Data storage and processing capabilities

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service.

3.2 Account Information

You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3.3 Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Remain inactive for extended periods
  • Engage in fraudulent or illegal activities

4. Service Tiers and Pricing

4.1 Service Tiers

  • Know Thyself (Free): Limited features as described on our pricing page
  • Paid Tiers: Additional features and capabilities as outlined at time of purchase

4.2 Payment Terms

  • Paid subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We reserve the right to modify pricing with 30 days notice
  • You authorize us to charge your payment method for all fees

4.3 Free Tier Limitations

  • 50MB data storage limit (rolling 30-day basis)
  • Limited API calls per day
  • Feature restrictions as outlined on our website
  • No guaranteed SLA for free tier users

5. Acceptable Use Policy

5.1 You agree NOT to:

  • Use the Service for any illegal purposes
  • Upload malicious code or compromise system security
  • Attempt to gain unauthorized access to any systems
  • Harass, abuse, or harm other users
  • Violate any third-party rights
  • Use the Service to process prohibited data types (as defined below)
  • Exceed usage limits for your service tier
  • Resell or redistribute the Service without authorization

5.2 Prohibited Data Types

You may not upload or process:

  • Personally identifiable health information (unless on HIPAA-compliant tier)
  • Government classified information
  • Data you don’t have rights to use
  • Illegal content of any kind

6. Data Privacy and Security

6.1 Data Ownership

  • You retain all rights to your business data
  • We claim no ownership over your uploaded content
  • You grant us license to process your data solely to provide the Service

6.2 Data Processing

  • We process data according to our Privacy Policy
  • We implement industry-standard security measures
  • Data is encrypted in transit and at rest
  • We maintain strict access controls

6.3 Third-Party Integrations

  • By connecting third-party services (Shopify, Stripe, etc.), you authorize us to:

    • Access data from these services on your behalf
    • Process and analyze this data
    • Store relevant data per our retention policies

7. Service Level Agreement (SLA)

7.1 Uptime Commitments (Paid Tiers Only)

  • Know Thy Competitors: 99.5% uptime
  • Know Thy Market: 99.9% uptime
  • Know Thy Future: 99.95% uptime
  • Know Thy Empire: 99.95% uptime with premium support

7.2 SLA Credits

If we fail to meet uptime commitments, eligible customers receive service credits as outlined in our SLA documentation.

8. Intellectual Property

8.1 Our IP

The Service, including all software, algorithms, AI models, and content we provide, remains our exclusive property.

8.2 Your IP

You retain ownership of all data and content you upload to the Service.

8.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

9. AI-Specific Terms

9.1 AI Limitations

You acknowledge that:

  • AI recommendations are not guaranteed to be accurate
  • You should verify important decisions independently
  • AI responses are generated based on your data and may contain errors
  • We are not responsible for decisions made based on AI recommendations

9.2 No Professional Advice

The Service does not provide legal, financial, medical, or other professional advice. Consult qualified professionals for such matters.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE PROVIDE THE SERVICE “AS IS” WITHOUT WARRANTIES
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS
  • WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS OR DATA BREACHES BEYOND OUR CONTROL

11. Indemnification

You agree to indemnify and hold harmless ICON Speed, Inc., its officers, directors, employees, and agents from any claims arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Virginia, USA, without regard to conflict of law principles.

12.2 Arbitration

Any disputes shall be resolved through binding arbitration under AAA rules, except where prohibited by law.

12.3 Class Action Waiver

You waive any right to participate in class action lawsuits against us.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or Service notification. Continued use after changes constitutes acceptance.

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between you and ICON Speed, Inc.

14.2 Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

14.3 No Waiver

Our failure to enforce any right or provision is not a waiver of that right.

14.4 Assignment

You may not assign these Terms without our written consent.

16. Additional Terms for Enterprise Customers

Enterprise customers may be subject to additional terms as outlined in separate enterprise agreements.

By using ICON Speed, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
